Welcome to Praise ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website, www.usepraise.ai (the "Site"), our mobile or desktop applications ("App"), and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please discontinue use of the Service immediately.

2. Eligibility and Account Registration

• Eligibility: You must be at least 13 years old (or the age of majority in your jurisdiction) to access or use the Service.
• Account Creation: Certain features of the Service, including our AI Chat, require you to create an account. When you register, you agree to provide accurate, current, and complete information.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Subscription and Purchases

• Auto-Renewable Subscriptions: Some aspects of the Service may be offered on an auto-renewing subscription basis (e.g., an annual plan following a 7-day free trial). Subscription details, including pricing and duration, will be clearly presented within the App.
• Free Trials: We may offer free trial periods. If you do not cancel before the trial ends, the subscription may automatically convert to a paid subscription.
• Restore Purchases: You can restore previously purchased subscriptions via the "Restore Purchases" button located [in the menu / subscription settings area].
• Payment Processing: Payments are typically processed through the platform's app store (e.g., Apple App Store). All billing and refund inquiries should be directed to that platform's billing support if charges appear on your app store account.

4. AI Chat Feature

• Personalized Experience: Our AI Chat requires a unique user ID to function. This allows us to personalize your conversation history and provide a consistent user experience.
• User Responsibilities: You agree not to use the AI Chat to transmit any content that is illegal, harmful, offensive, or infringes on any third-party rights.

5. Intellectual Property

• Ownership: All content provided through the Service (text, graphics, logos, images, software) is owned by Praise or its licensors and is protected by intellectual property laws.
• Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use in accordance with these Terms.

6. User Content

• Submissions: Certain areas of the Service may allow you to submit content (e.g., feedback, testimonials). You grant Praise a non-exclusive, royalty-free, worldwide license to use, display, and reproduce such content solely in connection with the operation of the Service.
• Prohibited Content: You agree not to submit any content that is defamatory, obscene, harassing, or otherwise violates applicable laws or infringes any third-party rights.

7. Disclaimer of Warranties and Limitation of Liability

• As-Is Basis: The Service is provided on an "as is" and "as available" basis without warranties of any kind (express or implied).
• No Warranty: We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• Limitation of Liability: To the fullest extent permitted by law, Praise and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

8. Apple-Specific EULA Terms

8.1 Acknowledgment

This End User License Agreement ("EULA") is between you and Praise only, not Apple. Praise, not Apple, is solely responsible for the Licensed Application ("App") and its content. Although Apple is not a party to these Terms, Apple has the right to enforce them against you as a third-party beneficiary.

8.2 Scope of License

You are granted a limited, non-transferable license to install and use the App on any Apple-branded device that you own or control, and as permitted by the App Store Terms of Service. This license does not allow you to use the App on devices you do not own or control.

8.3 Maintenance and Support

Praise is solely responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services for the App.

8.4 Warranty

To the maximum extent permitted by applicable law, Praise disclaims all warranties, whether express, implied, or statutory, with respect to the App. Apple is not responsible for any warranties not explicitly provided herein.

8.5 Product Claims

You acknowledge that Praise, not Apple, is responsible for handling any claims related to the App (e.g., product liability, legal compliance, consumer protection). Apple is not responsible for addressing such claims.

8.6 Intellectual Property Rights

In the event of any third-party claim that the App or your possession and use of the App infringes a third party's intellectual property rights, Praise, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.

8.8 Third-Party Terms of Agreement

8.9 Third-Party Beneficiary

You agree that Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple shall have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

8.10 Termination

These Terms and your license to the App are effective until terminated by you or Praise. Your rights under these Terms will terminate automatically if you fail to comply with any provision of this EULA. Upon termination, you must cease all use of the App and destroy all copies.

9. Termination and Suspension

We reserve the right to suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, pose a security risk, or engage in conduct that is harmful to other users or the Service.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws specified by Praise (and set forth under the laws of [Insert Jurisdiction], if applicable). Any dispute arising out of or in connection with these Terms shall be resolved in accordance with the dispute resolution provisions in our main Terms of Use.

For Apple-specific EULA enforcement, you also acknowledge Apple's right to enforce these Terms as outlined in Section 8.9.

We may update these Terms from time to time. When we do, we will revise the effective date at the top. If the changes significantly affect your rights, we will provide notice (e.g., via email or an in-app notification).
